Intuita’s founders began actively considering succession planning and the possibility of a shareholder exit, and subsequently appointed a management team to support the next phase of growth. Our Approach

Following the receipt of early expressions of interest, the shareholders engaged James Cowper Kreston Corporate Finance to provide them with sell-side advice and support.

As lead sell-side advisers, we delivered critical and comprehensive support throughout each stage of the sale process, including:

• Preparation for sale: We conducted an in‑depth review of Intuita’s financial, commercial, and operational performance, identifying the core value drivers and areas that would resonate most with prospective buyers;
• Engaging potential buyers: We drew on our sector expertise and research capabilities to unearth the universe of potential buyers and investors internationally, and then took the time to fully articulate the opportunity to them, which culminated in a range of highly competitive offers;
• Enhancing deal terms: We led negotiations with shortlisted bidders to maximise valuations, and secured more favourable terms across key areas including deal structure and seller protections. Competitive tension was sustained throughout the process, driving momentum and a very successful outcome for all concerned; and
• Getting the deal done: We managed the process from start to finish, through exclusivity, due diligence, and legal documentation, minimising risk and maximising value and certainty throughout. We worked closely and proactively with other advisers and counterparties to ensure a smooth, timely, and successful completion of the transaction.

The Result

We ultimately delivered a very successful exit for the shareholders of Intuita, alongside securing compelling terms for ongoing management under new ownership with FSP, a digital transformation consultancy backed by private equity firms CBPE and LDC.
