Supporting YFM Equity Partners (“YFM”) on their investment in Audiological Science (“AS”), bridging the gap between a founder-led healthcare business and private equity investment
“It was a pleasure to work again with Stuart and Julia and the rest of the James Cowper Kreston team on this investment. Their guidance and expertise, particularly in the complexities of working with owner-managed businesses, was invaluable throughout the process. We look forward to working with them again in the future.”
— Adam Hart, Investment Director, YFM Equity Partners
The Situation
Audiological Science is a UK‑based provider of audiology services, delivering diagnostic testing and hearing healthcare to NHS and private patients. Operating in a regulated clinical environment, the business provides outsourced audiology services to NHS integrated care boards alongside a growing private‑pay offering.
Strong historic performance, favourable market dynamics, and a clear growth trajectory attracted interest from financial investors as the founder prepared for an exit. While the opportunity was compelling, the transaction required careful handling: the business was founder‑led, clinically regulated, and operationally complex, creating a need to bridge the gap between the realities of day‑to‑day clinical delivery and the requirements of an institutional private equity investor.
YFM Equity Partners engaged James Cowper Kreston as lead buy‑side advisers to support the investment and guide the transaction through to completion.
Our Approach
YFM required an adviser who could work effectively with both the founder and the investor, helping to articulate a clear, data-driven investment case from a clinically led business, while maintaining trust and momentum throughout the process.
- Building investor‑grade financial clarity: We reviewed and rebuilt the historic financial information to provide YFM with a reliable, investor‑grade view of past performance. We then developed a detailed five‑year forecast, ensuring assumptions were realistic, well‑evidenced and closely aligned with the operational realities of delivering regulated healthcare services at scale.
- Commercial validation of the growth opportunity: Working closely with management, we undertook a detailed commercial review of secured NHS contracts, assessing the regional opportunity size, expected market share, and delivery economics. This analysis underpinned a credible and supportable view on clinic rollout, scalability, and future revenue generation, forming a core part of the investment rationale.
- Buy‑side execution and stakeholder management: We coordinated all buy‑side workstreams and adviser inputs, maintaining disciplined communication throughout. Our role helped bridge the differing perspectives of the founder and investor, addressing diligence findings pragmatically and ensuring YFM retained clarity and control at each stage of the transaction.
- Tax structuring and advisory: Our tax specialists advised on the implications of the proposed deal structure, helping YFM balance tax efficiency with commercial and stakeholder considerations. This provided clear visibility on post‑tax outcomes and supported a structure that worked for all parties.
The Result
We supported YFM in delivering a well‑structured private equity investment into Audiological Science, enabling a successful founder transition.
With YFM’s backing, Audiological Science is now positioned to accelerate growth across existing and new NHS regions, supported by strengthened commercial foundations, improved financial visibility, and a scalable operating model. The transaction delivered a strong outcome for all parties and created a robust platform for the business’s next phase of expansion.
